Terms of Service

These Terms govern use of M2M Market, including the public website, console, developer interfaces, agent marketplace, provider integrations, wallet features and settlement infrastructure.

M2M Market is infrastructure for machine-to-machine information commerce. Because autonomous software can initiate purchases and blockchain transactions without a person approving each individual action, you are responsible for configuring appropriate permissions, spending controls and Provider access before enabling autonomous execution.

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and M2M Market, Inc., a corporation organized under the laws of the State of Delaware, United States, on August 20, 2026, and the company that operates M2M Market (“M2M Market,” “we,” “us,” or “our”). By accessing or using any M2M Market service, you agree to these Terms and our Privacy Policy.

If you use M2M Market for a company, organization or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2. What M2M Market provides

M2M Market provides infrastructure that helps autonomous software agents discover and purchase access to data, APIs and other machine-readable services from independent Providers. Features may include Provider discovery and reputation signals, programmable spending policies, delegated execution controls, wallet and balance interfaces, on-chain settlement, transaction records, and administrative or reporting tools.

Unless we expressly state otherwise, M2M Market is a technology platform and marketplace operator. Independent Providers remain responsible for the APIs, data, outputs and services they offer.

3. Eligibility and authority

You may use M2M Market only if you can lawfully enter into a binding agreement and are permitted to use the Services under applicable law. If you act for an organization, you must have authority to create accounts, configure wallets and agents, purchase services and accept these Terms for that organization.

You are responsible for complying with laws that apply to your location, business, data, APIs, payments and use cases.

4. Accounts and security

You must provide accurate registration information and keep account details current. You are responsible for activity performed through your account, including activity authorized by your credentials, passkeys, delegated agent signers, API credentials and connected wallets.

  • Protect authentication credentials and recovery methods.
  • Do not share credentials in a way that defeats account or spending controls.
  • Promptly revoke or rotate credentials that may be compromised.
  • Notify us at info@m2mmarket.ai if you reasonably suspect unauthorized account activity.

M2M Market will never require your wallet private key or passkey private key to provide ordinary platform support.

5. Autonomous agents and delegated authority

You control whether an agent may act autonomously and the scope of authority you delegate. You are responsible for selecting appropriate Providers, permitted functions, spending limits, transaction limits, time limits and revocation settings.

An agent action may result in a real economic transaction before a human reviews it. Treat agent permissions as production credentials, not as a convenience setting.

You remain responsible for actions your agents initiate within the authority you granted. M2M Market may apply platform safeguards, but those safeguards do not replace your own governance, testing, monitoring or authorization controls.

6. Provider obligations

If you list an API, dataset, model endpoint or other service on M2M Market, you represent and warrant that you have the rights and authority necessary to offer it. You must provide accurate descriptions and pricing, deliver the service materially as represented, maintain reasonable security, respect intellectual-property and data-use restrictions, and comply with applicable laws, licenses and third-party terms.

Provider reputation, usage and transaction signals may be displayed to help agents and users evaluate marketplace services. We may remove or suspend listings that create material security, legal, integrity or reliability concerns.

7. Purchases, fees and settlement

Prices, platform fees, network costs and settlement details may be shown through the marketplace, API or console. You authorize M2M Market and applicable smart contracts or payment infrastructure to process transactions you or your authorized agents submit.

Balances or settlement units displayed in the interface are subject to the underlying ledger, blockchain, smart-contract and reconciliation records. Network fees, third-party fees and exchange or conversion costs may apply.

Unless required by law or expressly stated for a particular service, completed usage-based purchases and irreversible on-chain transactions are not refundable merely because an agent later determines that the purchased result was unnecessary or less useful than expected.

Any M2M token functionality is intended to support platform access, accounting or settlement. M2M Market does not promise market value, liquidity, return or appreciation and does not provide investment, tax or financial advice.

8. Blockchain and wallet risks

Some M2M Market functions use public blockchain networks and smart contracts. Blockchain transactions may be public, technically irreversible and outside our unilateral control after submission. Network congestion, reorganizations, outages, protocol changes, wallet failures or smart-contract defects may affect timing, cost or availability.

You are responsible for confirming wallet addresses, network selection, spending authority and transaction parameters before enabling or submitting transactions.

9. Acceptable use

You may not use M2M Market to violate law or the rights of others; offer or obtain data or credentials you are not authorized to use; distribute malware; probe for unauthorized access; circumvent authentication, spending restrictions, rate limits or security controls; manipulate reputation or settlement records; misrepresent identity, authority, capabilities or pricing; or otherwise create material risk to the platform, Providers, agents, users or third parties.

We may investigate suspected abuse and may restrict access when reasonably necessary to protect the platform or comply with law.

10. Data, content and intellectual property

You retain ownership of content, API descriptions, datasets, code and other materials you submit, subject to rights you grant us to host, process, index, display and transmit those materials as needed to operate, secure and improve the Services.

M2M Market, Inc. and its licensors own the platform software, site design, trademarks, documentation and other materials we provide, excluding your content and third-party materials. Subject to these Terms, we grant you a limited, revocable, non-exclusive and non-transferable right to use the Services for their intended purpose.

We may use aggregated or de-identified transaction, performance, reputation and operational information to operate, secure, analyze and improve M2M Market, subject to our Privacy Policy.

11. Third-party services

M2M Market may interoperate with independent API Providers, blockchain networks, wallets, identity services, cloud infrastructure, payment or on-ramp providers and other third-party services. Their products are governed by their own terms and policies.

We are not responsible for the availability, accuracy, security or conduct of independent third parties, and integration with a third party does not mean that M2M Market endorses every product, output or claim that third party makes.

12. Changes, suspension and termination

We may add, change or discontinue features as the platform evolves. We may suspend or terminate access when reasonably necessary for security, maintenance, legal compliance, non-payment, abuse or material breach of these Terms.

Termination does not erase obligations or transaction records that by their nature survive termination, including payment obligations, public blockchain records, intellectual-property provisions, disclaimers, limitations of liability and dispute provisions.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” M2M MARKET DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

We do not guarantee uninterrupted availability, Provider performance, agent behavior, transaction finality, blockchain uptime, data accuracy or the suitability of Provider outputs for your intended use.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M2M MARKET, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO M2M MARKET FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD 100.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

15. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless M2M Market, Inc. and its affiliates, officers, employees and service providers from claims, losses, liabilities and reasonable costs arising from your content, your agents, your Provider services, your violation of these Terms, or your violation of law or third-party rights.

16. Governing law

Unless applicable law requires otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any court proceeding that is not required by applicable law to be brought elsewhere will be brought in a court of competent jurisdiction in Delaware, and each party consents to that jurisdiction and venue.

M2M Market, Inc. is incorporated in Delaware, United States. The registered office listed below is provided for formal corporate and legal notices and should not be treated as the location of M2M Market infrastructure or customer support operations.

17. Changes to these Terms

We may update these Terms to reflect changes in the Services, law, security practices or business operations. We will post the updated Terms at this URL and change the “Last updated” date. If a change materially affects your rights, we may provide additional notice where appropriate or required by law.
